Terms of Service
These Terms of Service ("Terms") govern your access to and use of SparkScore (the "Service") provided by Voidverse Studios Inc. ("Voidverse," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms.
1. The Service
SparkScore offers AI-powered analysis of chat content to help users understand sentiment, attachment-related signals, and relationship clarity. Features, availability, and output may change over time. The Service is provided for informational purposes and does not constitute professional, medical, legal, or therapeutic advice.
2. Eligibility and accounts
You must be able to form a binding contract in your jurisdiction to use the Service. You are responsible for the accuracy of information you provide (such as email, phone number if provided, and chosen nickname) and for maintaining the security of your account credentials.
3. Acceptable use
You agree not to misuse the Service, including by attempting to gain unauthorized access; interfering with or disrupting the Service; reverse engineering except as permitted by law; using the Service to violate others' rights or applicable law; or submitting content you do not have the right to analyze. We may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms the Service or other users.
4. Your content
You retain ownership of content you submit. You grant Voidverse the rights necessary to operate the Service—including processing, storing, and analyzing content you submit—in accordance with our Privacy Policy.
5. Intellectual property
The Service, including its software, branding, and documentation, is owned by Voidverse or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service as permitted here, no rights are granted to you.
6. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOIDVERSE AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.
8. Indemnity
You will defend and indemnify Voidverse and its affiliates against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
9. Changes to the Service and Terms
We may modify or discontinue the Service. We may update these Terms from time to time. When we make material changes, we will provide written communication to users (for example, by email or an in-app notice) as appropriate. Your continued use of the Service after such notice constitutes your acceptance of the updated Terms where permitted by law. If you do not agree, you must stop using the Service.
10. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Courts located in Toronto, Ontario, will have exclusive jurisdiction over disputes, subject to mandatory consumer protections in your jurisdiction where they cannot be waived.
11. General
These Terms constitute the entire agreement between you and Voidverse regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
